Anthropic IPO filing: $1.7B quarterly payroll, about $107K per employee monthly

Anthropic's amended S-1 filing shows more than $1.7 billion in personnel expenses for July to September 2026. With 5,300 employees, that is about $107,300 per person per month. Stock-based compensation was $1.1 billion of the total. Nine-month personnel costs of $4.8 billion were about 15% of $33.2 billion revenue, and an IPO would trigger an $8.2 billion RSU charge.

What it claims

Anthropic's amended S-1, first reported by Business Insider, ties its stock-based compensation to a double-trigger RSU structure. That structure will add tens of billions of dollars in expense after an IPO. Had the IPO closed on September 30, 2026, Anthropic says it would have booked an $8.2 billion charge that day. It would then recognize another $24.1 billion for the same awards over a weighted-average period of about two years. The one-day charge alone exceeds the $4.86 billion in personnel expenses for January to September 2026.

How it works

Some of Anthropic's restricted stock units carry two vesting conditions. The employee must stay for a set length of service, and a liquidity event such as an IPO must occur. Until the second condition is met, the expense for service already performed is not recognized. The IPO releases it all at once. Stock-based compensation is recorded as an expense even though employees receive no equivalent cash.

The $1.7 billion quarterly personnel figure for July to September 2026 covers cash salaries, bonuses, benefits and employer payroll taxes, plus $1.1 billion in stock-based compensation. Across 5,300 employees, that is about $322,000 per person for the quarter.

Evidence

  • In 2023, personnel spending was more than twice Anthropic's customer revenue.
  • By the first nine months of 2026, personnel costs had fallen to about 15% of $33.2 billion in revenue.
  • Headcount grew fivefold between the end of 2024 and the filing.
  • Meta has about 67,000 employees, more than ten times Anthropic's 5,300.
  • Sam Altman claimed in 2025 that Meta offered some OpenAI employees $100 million signing bonuses. The article reports this as Altman's claim, and the filing does not contain it.

Limits

This is a news write-up of the filing, not the S-1 itself. It gives no breakdown of cash pay against equity per role or level. It does not say what share of RSUs are double-trigger. It gives no IPO date or valuation. The $8.2 billion and $24.1 billion figures are the company's hypothetical calculations as of September 30, 2026.
